Welcome to DigitalMktg.NūbizSoho.com (“Website”), operated by NūbizSoho.com (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our digital marketing services, website, and payment portals.
By purchasing or using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use our services or process payments through this site.
1. Scope of Services
NūbizSoho.com provides digital marketing services, which may include search engine optimization (SEO), social media management, pay-per-click (PPC) advertising management, content creation, website design, and related consultation (“Services”). Services are provided exclusively to businesses operating within the State of Florida unless otherwise agreed in writing.
2. Payment Options: Subscription Discount & Billing
- Fixed Monthly Payments (One-Time): Clients may purchase single, fixed-term monthly services paid individually on a month-to-month basis at standard full pricing. One-time monthly payments cover thirty (30) days of service and DO NOT auto-renew. Payment is due in full prior to service commencement.
- Recurring Monthly Subscriptions (10% Discount): Clients who enroll in automatic recurring monthly billing receive a 10% discount off the standard rate for as long as the active subscription remains in good standing. By selecting the subscription option, you authorize NūbizSoho.com to charge your designated payment method automatically via Stripe on a recurring monthly basis on your billing anniversary date.
- Failed Payments & Discount Forfeiture: If a recurring subscription payment fails and is not updated within five (5) business days, NūbizSoho.com reserves the right to pause or terminate service. If a subscription is canceled or lapses, any future purchases will revert to standard fixed monthly pricing unless a new subscription is established.
3. Cancellation & Refund Policy
- Fixed Single Monthly Services (One-Time): Payments for standard fixed single-month services are final and non-refundable once work on the account, campaign or service period has commenced.
- Subscription Cancellations & 14-Day Notice: For 10% discounted monthly subscriptions, you may cancel your auto-renewal by providing written notice at least fourteen (14) days prior to your next scheduled billing date. If notice is provided fewer than 14 days before your billing date, the upcoming payment will process as scheduled, and your cancellation will take effect at the end of the subsequent billing cycle.
- No Prorated Refunds: Partial refunds are not issued for mid-cycle cancellations or unused portions of a billing cycle once a recurring payment has processed. Services will remain active through the end of the paid cycle.
- Ad Spend: Client is responsible for direct media costs and third-party ad spend (e.g., Google Ads, Meta Ads). Ad spend payments made directly to third-party platforms are non-refundable by NūbizSoho.com.
4. Client Responsibilities & Materials
- Access & Materials: To perform the Services, Client agrees to provide timely access to necessary accounts, logos, images, copy, brand guidelines, and administrative rights.
- Approvals: Client is responsible for reviewing and approving ad copy, designs, and campaign materials. Delays in Client approval do not pause or delay billing schedules.
- Content Authority: Client warrants that all text, photos, trademarks, and materials provided to NūbizSoho.com are owned by Client or that Client has permission to use them.
5. Intellectual Property
- Deliverables: Upon full payment of all fees, Client retains ownership of final marketing deliverables specifically created for Client.
- Agency Tools & Trademarks: NūbizSoho.com retains sole ownership of its proprietary processes, strategies, templates, software, and brand assets used to perform the Services.
6. No Guarantee of Results
Digital marketing outcomes depend on third-party algorithms, market conditions, ad platform policies, and external economic factors. While NūbizSoho.com uses industry-standard strategies, we do not guarantee specific sales numbers, rankings, traffic volume, conversion rates, or return on investment (ROI).
7. Limitation of Liability
To the maximum extent permitted by Florida law, NūbizSoho.com, its owners, and employees shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Services, including loss of revenue, site downtime, or third-party ad account suspensions. Our total liability for any claim shall not exceed the total fees paid by Client to NūbizSoho.com in the 30 days preceding the event giving rise to the claim.
8. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the state or federal courts located in Florida.
